Terms of Use
These terms apply to your use of milinchukcpa.com (the "site"), operated by Milinchuk CPA Professional Corporation ("Milinchuk CPA", "I", "me"), 17 Festival Drive, Toronto, ON M2R 3T9. By using the site, you agree to these terms. If you do not agree, please do not use the site.
1. Professional services are governed by engagement letters
I provide professional services only under a written engagement letter signed by you and by me. My services include accounting, bookkeeping, payroll services, Canadian and US tax, and advisory services. I do not provide audit or review engagements. The engagement letter sets the scope, fees, responsibilities, and limits of my work. If an engagement letter conflicts with these terms, the engagement letter governs.
2. General information, not advice
The content on this site, including articles, guides, checklists, and examples, is general information only. It is not accounting, tax, legal, or financial advice, and it may not reflect recent changes in law or your circumstances. Do not act on it without advice from a qualified professional who knows your situation.
3. No client relationship until I sign
Sending me a message, booking a consultation, or talking with me before an engagement letter is signed does not make you my client and does not create any professional duty. Please do not send confidential documents until I confirm that I have accepted your engagement. A free consultation is a general discussion to see whether and how I can help.
4. Accuracy of information
I try to keep the site accurate and current, but I do not guarantee that any content is complete, accurate, or up to date. Tax rules, rates, and deadlines change. I may change or remove content at any time without notice.
5. Bookings and communications
Online bookings are handled through Google Calendar. I may reschedule or cancel a booking if needed. Email, WhatsApp, and Telegram are not fully secure; you use them at your own risk. My handling of personal information is described in my Privacy Policy.
6. Links and third-party services
The site links to and uses services run by others, such as Google, WhatsApp, Telegram, government websites, and social media. I do not control them and am not responsible for their content, availability, or privacy practices. A link is not an endorsement.
7. Intellectual property
The site and its content, including text, guides, logos, and design, belong to Milinchuk CPA or its licensors and are protected by copyright and trademark law. You may view and print pages for your personal, non-commercial use. You may not copy, republish, scrape, or modify site content without my written permission. Third-party images are used under their licences, as credited.
8. Confidentiality
I keep client information confidential as required by the CPA Ontario Code of Professional Conduct and my Privacy Policy. I may disclose it only with consent, when required by law, a court order, or a regulator, for CPA Ontario practice inspection or discipline processes, or to defend myself in a legal claim.
9. Acceptable use
You agree not to use the site to break the law, send spam or harmful code, attempt unauthorized access to my systems, overload the site, or submit false information through my forms.
10. Limitation of liability
To the extent permitted by law:
- the site and its content are provided "as is", without warranties of any kind;
- I am not liable for any loss or damage arising from your use of, or reliance on, the site or its content, or from any third-party service linked from it;
- I am not liable for indirect, special, or consequential losses, including lost profits, interest, penalties, or lost data.
For professional services, my liability is set by your engagement letter. If no limit is stated there, my total liability for any claim relating to a service is limited to the fees you paid me for that service in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You agree to indemnify Milinchuk CPA and its directors and officers against claims, losses, and reasonable legal costs arising from your breach of these terms or your misuse of the site.
12. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario, sitting in Toronto, have exclusive jurisdiction over any dispute about the site or these terms, without limiting any dispute process in your engagement letter.
13. Changes
I may update these terms at any time by posting a new version on this page with a new date. Your continued use of the site after a change means you accept the updated terms.
14. General
If any part of these terms is found unenforceable, the rest remains in effect. My failure to enforce a term is not a waiver. These terms, my Privacy Policy, and any engagement letter are the entire agreement about the site.
